Membership Agreement

This Agreement describes the terms of your Direct Primary Care membership with Akwaaba Clinic. Please read it carefully before enrolling.
1. Parties
This Agreement is between Akwaaba Clinic(operated by Dr. Dennis Kordie, DNP, 134 Evergreen Pl, Suite 703, East Orange, NJ 07018) and the enrolled patient (“Member”).
2. This Is Not Insurance
Your membership is a direct service contract — a private agreement for primary care services. It is not a health insurance policy, is not subject to New Jersey insurance licensing requirements, and cannot be used as a substitute for health insurance. You remain responsible for obtaining appropriate health insurance or coverage for services not included in this membership.
3. Services Included
Your membership includes:
- Unlimited in-person primary care visits at Akwaaba Clinic
- Unlimited telehealth visits (New Jersey and New York patients)
- Direct messaging with Dr. Kordie via the Spruce Health app
- Annual comprehensive wellness exam and physical
- Chronic disease management (hypertension, diabetes, thyroid, etc.)
- Preventive care and screenings per current USPSTF guidelines
- Prescription management and medication refills
- Lab work ordered at wholesale pricing (lab costs not included in membership fee)
- Coordination of specialist referrals
- Same-day and next-day appointment availability
4. Services Not Included
The following are not covered by your membership fee and will be billed separately:
- Laboratory testing (billed at wholesale/cost-plus pricing)
- Imaging (X-ray, MRI, CT — referred externally)
- Specialist visits and consultations
- Emergency room and urgent care visits
- Hospitalizations and surgical procedures
- Prescription drug costs (prescriptions are managed but drugs are filled at your pharmacy)
- Mental health services beyond brief assessment and referral
- Physical therapy, occupational therapy, or chiropractic care
For emergencies, call 911 immediately. This membership does not replace emergency services.
5. Membership Fees
Individual Plan: $25.00/month per adult member.
Family Plan: $40.00/month covering all household members.
Fees are billed monthly via automatic payment to the card on file. Fees are due on the same date each month. If payment fails, you will have a 10-day grace period before membership is suspended.
Fees may be adjusted with 60 days written notice. HSA/FSA funds may be used for membership fees as of January 1, 2026.
6. Cancellation Policy
Either party may terminate this Agreement at any time with written notice. There is no long-term contract, no cancellation fee, and no penalty for leaving.
We ask for reasonable notice (ideally 30 days) to ensure continuity of care and proper transfer of records. Upon cancellation, you will retain access to your records through Spruce Health for 30 days.
Akwaaba Clinic reserves the right to terminate membership for non-payment, abusive behavior toward staff, or conduct that makes a therapeutic relationship untenable. In such cases, we will provide 30 days notice and assist with care transition.
7. Patient Responsibilities
As a Member, you agree to:
- Maintain current payment information on file
- Use the Spruce Health app for secure clinical communication
- Contact the practice for non-emergency clinical questions before seeking outside care when possible
- Maintain separate health insurance or coverage for services not included in this membership
- Notify us of any changes to your health status, medications, or contact information
- Treat Dr. Kordie and all staff with courtesy and respect
8. Access and Response Times
Dr. Kordie aims to respond to messages within 4 business hours during normal practice hours (Monday–Friday, 9 AM–5 PM ET). After-hours messages will be addressed the next business day except in urgent situations.
For life-threatening emergencies, call 911. Do not rely on this membership for emergency care.
9. Medical Records
You have the right to a copy of your medical records at any time. Records are maintained through Spruce Health in compliance with HIPAA and New Jersey state recordkeeping requirements. Records will be transferred to a new provider upon written request.
10. Governing Law
This Agreement is governed by the laws of the State of New Jersey. Any disputes shall be resolved in Essex County, New Jersey. This Agreement constitutes the entire agreement between the parties regarding DPC membership services.
